These General Terms of Sale (the “Terms of Sale”) apply to OPHOS SYSTEM SAS, which operates the trade names elionis and SYMPEE. Any reference to “elionis” in this document legally designates OPHOS SYSTEM SAS, registered with the Créteil Trade and Companies Register (RCS) under number 484 736 103, whose registered office is located at 19 rue Maryse Bastié, 94490 Ormesson-sur-Marne.
Article 1 – Terms of Sale / Prices
1.1 – The prices of our products are stated in euros, including all taxes (excluding a contribution to delivery costs if the distance exceeds 70 km from the registered office).
1.2 – All orders, whatever their origin, are payable in euros.
1.3 – elionis SAS reserves the right to change its prices at any time, but products will be invoiced on the basis of the prices in effect at the time the order is recorded, subject to availability.
1.4 – Products remain the property of elionis SAS until the price has been paid in full.

Contractual information is provided in French and will be confirmed, restating this information, no later than upon delivery. elionis SAS reserves the right to cancel or refuse any order from a Client with whom there is a dispute regarding payment for a previous order.
Article 3 – Order validation
You declare that you have read and accepted these General Terms of Sale before placing your order. Validation of your order therefore constitutes acceptance of the Terms of Sale. Unless proven otherwise, the data recorded by elionis SAS constitutes proof of all transactions carried out.
Article 4 – Availability
Our product offers and prices are valid for as long as they are displayed on the website, while stocks last. For products not held in stock, our offers are valid subject to availability from our suppliers. Should a product become unavailable after you have placed your order, you will be informed as soon as possible and your deposit will be refunded immediately.
Article 5 – Delivery
Products are delivered to the address provided during the ordering process. Lead times are indicative and correspond to average processing and delivery times.
Article 6 – Payment
Payment may be made by bank check, bank transfer or bank card. Checks must be drawn on a bank located in mainland France or Monaco. Checks are cashed upon receipt.
6.1 – Suspension of services in the event of non-payment
If an invoice of any kind (sale, service or subscription) is not paid by its due date, elionis SAS reserves the right to suspend all or part of the services provided, including services not directly related to said invoice, until payment is made in full. Such suspension may take effect after five (5) calendar days’ written notice.
Article 7 – No right of withdrawal
The right of withdrawal provided for in Article L221-18 of the French Consumer Code (Code de la consommation) does not apply to contracts concluded between professionals. Accordingly, no withdrawal period applies to orders placed with elionis, unless expressly stated otherwise.
7.1 – Shipping and return costs will then be borne by you. Only the price of the purchased product(s) will be refunded, and only in the form of a credit note. Returns must be sent to elionis SAS, Centre commercial du Parc 77150 Lésigny. Returns may only concern equipment that has not undergone any modification or alteration and must be made in the original packaging. Software can only be taken back if it is returned in its intact sealed envelope, together with a copy of the invoice.
7.2 – Products returned incomplete, damaged or soiled will not be accepted.
Article 8 – Product conformity
elionis undertakes to refund or exchange defective or non-conforming products. The request must be made in writing within 72 business hours following delivery. After this period, no claim will be accepted.
Article 9 – Refunds
Refunds in the cases referred to in Articles 7 and 8 will be made within 15 days of receipt of the returned product(s), by check or credit note in the Client’s name.

Article 11 – Intellectual property
11.1 – All texts, images and logos reproduced on the website are protected by copyright and intellectual property law. Any reproduction is strictly prohibited.
11.2 – Certain products (e.g. software) are subject to specific licenses. You are required to comply with their terms.
Article 12 – After-sales service
In performing its services, elionis SAS is bound by an obligation of means (best-efforts obligation), not by an obligation of result.
It cannot be held liable for any direct or indirect, tangible or intangible damage, except in the event of proven serious misconduct.
Disclaimer of liability:
Any intervention by elionis SAS or by non-approved third parties may void the supplier’s warranty. The applicable warranty is the one stated on the invoice. It does not cover software-related problems (viruses, user errors, misuse).
Article 13 – Liability
The products comply with French legislation. elionis SAS cannot be held liable for non-compliance with the legislation of another country. Photos are for illustrative purposes only.
Article 14 – Applicable law / Disputes
This contract is governed by French law. In the event of a dispute, the French courts shall have sole jurisdiction.
Article 15 – Personal data
elionis SAS undertakes never to disclose your information to third parties. It is used solely to process your order and in accordance with the GDPR.
Article 16 – Exclusions
Any installation of hardware or parts by the Client releases elionis SAS from all liability with respect to the warranty. The equipment must be inspected by our department or by the manufacturer.
